Abstract: "This article investigates the processes and purposes of enacting benefit corporation statutes as a vehicle to better understand what role individuals, civil society, and other institutions play in reshaping the relationship between business and society. Furthermore, benefit corporation legislation supports cooperative (socially responsible) decision making that is the hallmark of a decentralized, multi-faceted management of common resources."
