Private Government Behind the Gates: Homeowners’ Associations, Institutional Lock-In, and the Democratic Commons

Abstract

Common-interest developments house tens of millions of Americans and increasingly assign homeowners’ associations functions once performed by municipalities. This Article examines physically gated communities as a particularly visible subset of that broader system. It argues that mandatory private residential governance can provide valued services while also creating problems of accountability, amendment, public access, and regional coordination. The Article combines doctrinal analysis, institutional theory, and descriptive housing data; because no national dataset precisely enumerates gated communities, its population estimates are presented as The Article also presents a stylized voting model showing how amendment provisions measured against all eligible owners can create institutional lock-in when participation is low. The model is illustrative rather than predictive: its central result follows from the interaction among the denominator, the approval threshold, turnout, and support among participating owners. The Article then evaluates state and local reforms, including judicial threshold-reduction procedures, quorum-sensitive voting rules, transparency protections, and prospective infrastructure conditions. Its contribution is to connect property theory, commons governance, local-government law, and democratic accountability without treating either privatization or municipal control as categorically superior.
